Acceptance of Terms
By accessing or using YOUnifiedAI (the “Service”), you agree to be bound by these Terms and our Privacy Policy.
Account Registration
You must be at least 18 years old to use our Service. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account. You must provide accurate and complete information when creating an account and keep it up to date. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading.
If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such a case, ‘you’ and ‘your’ will refer to that entity.
Subscription and Payment
Paid plans are billed monthly or annually.
All payments are final and non-refundable, except where required by law.
We use third-party payment processors (e.g., Stripe).
You are responsible for all applicable taxes unless otherwise stated.
We reserve the right to change pricing with 30 days’ notice. Continued use after a price change constitutes acceptance.
Subscriptions renew automatically unless canceled prior to the billing date.
Free Trials
If a free trial is offered, you will not be charged until the trial period ends. At the end of the trial, your subscription will automatically convert to a paid plan at the applicable rate unless you cancel before the trial ends.
Discounts and Promotions
Promotional discounts apply only to the first billing cycle unless otherwise explicitly stated. After the promotional period, standard pricing will apply.
User Responsibility for Cancellation
You are responsible for canceling your subscription before the renewal date. Failure to cancel before renewal will result in automatic billing, and charges will not be refunded.
User Responsibilities
You agree not to:
- Use the Service for unlawful purposes.
- Upload viruses or malicious code.
- Reverse engineer or misuse the platform.
- Access or use the Service to build a competing product or service.
- Copy, scrape, benchmark, or monitor the Service without our prior written consent.
- Attempt to extract, replicate, or reverse-engineer AI models, system architecture, or workflow logic.
- Use the Service or any Output to develop, train, or improve any AI or machine learning models that compete with YOUnifiedAI.
- Circumvent usage limits, security measures, or access controls.
- Resell, sublicense, or commercially exploit the Service without authorization.
- You are solely responsible for the security of your account. If you suspect any unauthorized use, notify us immediately.
- You may not use the Service to transmit sensitive personal data (e.g., health, financial, or government-issued ID information) unless explicitly permitted.
Intellectual Property
All content, features, and functionality of YOUnifiedAI are the exclusive property of YOUnifiedAI, Inc. or its licensors. You retain ownership of the content you upload to your workspace. You grant us a limited license to use, host, and process your uploaded content solely for the purpose of operating and improving the Service.
While you own the specific Output generated for you, this does not grant you any rights to the Service’s underlying software, proprietary algorithms, system prompts, or workflow logic. All rights in the ‘factory’ remain with YOUnifiedAI; only the ‘finished goods’ (the Output) are assigned to you.
Customer Data and Confidentiality
We treat your uploaded content and account data as confidential information. We implement commercially reasonable administrative, technical, and organizational safeguards designed to protect your data. Data processing practices are governed by our Privacy Policy [link to Privacy Policy].
We may use aggregated and anonymized usage data to improve and operate the Service, provided such data does not identify you or your organization.
AI Features
By using our AI features, you agree that:
- Ownership of Content: You own all Input you provide to the Service. Subject to your compliance with these Terms, YOUnifiedAI hereby assigns to you all its right, title, and interest in and to Output generated by the Service based on your Input.
- Outputs are not guaranteed to be accurate, complete, or error-free.
- We do not use your data to train public models.
- The outputs generated by our AI features are based on probabilistic models and may not be accurate or reliable for all use cases. You are solely responsible for evaluating the suitability of any AI-generated output before using it in business decisions or workflows.
- Human-in-the-Loop Requirement: You acknowledge that AI-generated Output may be inaccurate or biased. You agree to human-review all Output before relying on it for business, legal, or medical purposes. You are solely responsible for the use of any Output.
You agree not to use the AI output to create or disseminate content that violates applicable laws, including content that is discriminatory, harmful, or deceptive.
Third-Party Services
Our platform may integrate with third-party tools. You are responsible for reviewing and agreeing to their terms of use separately. We are not responsible for the data handling, privacy practices, or service availability of third-party services. Your use of third-party tools is at your own risk.
Your use of AI features is also subject to the usage policies of our third-party model providers (e.g., OpenAI, Anthropic, Google). You agree not to use the Service in a manner that violates these third-party policies, which are incorporated herein by reference.
Termination
We may suspend or terminate your account for violation of these Terms. Upon termination, your access to the Service will be revoked. Upon termination, we may retain or delete your data in accordance with our Privacy Policy. Following termination, YOUnifiedAI will typically delete all Customer Data from its active production systems within thirty (30) days, unless otherwise required by law or to prevent fraud. You are responsible for exporting your data prior to termination, as we may not be able to recover it afterward.
Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law shall survive termination.
Disclaimers
WE PROVIDE THE SERVICE “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Access may be affected by maintenance, system updates, third-party service disruptions, or factors beyond our control.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL YOUNIFIEDAI, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO USE THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00) FOR USERS ON A FREE OR TRIAL TIER.
Indemnification
You agree to indemnify, defend, and hold harmless YOUnifiedAI, Inc., its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) your use or misuse of the Service;
(b) your violation of these Terms;
(c) your violation of any applicable law or third-party rights.
Force Majeure
We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, government actions, labor disputes, internet or cloud service disruptions, or failures of third-party providers.
Independent Relationship
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and YOUnifiedAI, Inc.
Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
EACH PARTY HEREBY IRREVOCABLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and YOUnifiedAI, Inc. regarding the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
